INTRODUCTION AND PARTIES<\/strong><\/p>\n\n\n\n<h6 class=\"wp-block-heading\"><strong>1.1 Overview<\/strong><\/h6>\n\n\n\n<p class=\"wp-block-paragraph\">These Terms of Service (&#8220;Terms&#8221;) constitute a legally binding agreement between you (&#8220;User&#8221;, &#8220;you&#8221;, or &#8220;your&#8221;) and the V5Pay group entities (collectively, &#8220;V5Pay&#8221;, &#8220;we&#8221;, &#8220;us&#8221;, or &#8220;our&#8221;), governing your access to and use of the payment services, platforms, applications, websites, and related technologies made available by V5Pay (the &#8220;Services&#8221;).<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">By registering for, accessing, or using any of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. If you do not agree to these Terms, you must not use the Services.<\/p>\n\n\n\n<h6 class=\"wp-block-heading\"><strong>1.2 The Group Entities<\/strong><\/h6>\n\n\n\n<p class=\"wp-block-paragraph\">The Services are provided by one of the following entities, depending on the jurisdiction of the applicable regulatory framework:<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">\u2160. V5 Philippines Corp. (Philippines)<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">9\/F Filinvest One Building, Alabang-Zapote Road corner Northgate Avenue, Filinvest City, Alabang, Philippines<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">\u2161. Muon Group Colombia S.A. (Colombia)<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Cr 7 No.74B 56 of 301 Ed Corficaldas, Bogot\u00e1 D.C., Colombia<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">\u2162. UNIONRAY GLOBAL CO. LIMITED (Hong Kong, China)<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Unit 03, 7\/F., LT Tower, No. 31 Chong Yip Street, Kwun Tong Kowloon, Hong Kong<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The specific entity responsible for providing the Services to you shall be determined by us based on applicable jurisdictional requirements, and we may share your information within the Group strictly in compliance with applicable data protection laws.<\/p>\n\n\n\n<h6 class=\"wp-block-heading\"><strong>1.3 Acceptance and Eligibility<\/strong><\/h6>\n\n\n\n<p class=\"wp-block-paragraph\">By registering for or using the Services, you represent and warrant that:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>You are a legally constituted business entity with the full power and authority to enter into this agreement;<\/li>\n\n\n\n<li>You are not located in or a resident of any jurisdiction where the provision of the Services would be prohibited;<\/li>\n\n\n\n<li>You are not listed on any sanctions or restricted parties lists maintained by the United Nations, the European Union, the United States, the United Kingdom, Hong Kong, the Philippines, Colombia, or any other applicable jurisdiction; and<\/li>\n\n\n\n<li>You will use the Services solely for lawful purposes and in compliance with all applicable laws.<\/li>\n<\/ul>\n\n\n\n<h6 class=\"wp-block-heading\"><strong>1.4 Amendments<\/strong><\/h6>\n\n\n\n<p class=\"wp-block-paragraph\">V5Pay reserves the right to amend, modify, or update these Terms at any time. Material changes will be notified through reasonable means, including but not limited to email notification, in-app notification, or posting the updated Terms on our website. Continued use of the Services after the effective date of any changes constitutes your acceptance of the amended Terms.<\/p>\n\n\n\n<h5 class=\"wp-block-heading\"><strong>2. DEFINITIONS AND INTERPRETATION<\/strong><\/h5>\n\n\n\n<p class=\"wp-block-paragraph\">In these Terms, unless the context otherwise requires:<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><em>\u201cAffiliate\u201d means any entity that directly or indirectly controls, is controlled by, or is under common control with a Party.<\/em><\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><em>\u201cAgreement\u201d means these Terms, together with the Privacy Policy, Prohibited Industries list, Sanctions Policy, and any other policies incorporated by reference.<\/em><\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><em>\u201cApplicable Law\u201d means any law, regulation, rule, policy, judgment, decree, or directive issued by governmental or regulatory authorities having jurisdiction over a Party.<\/em><\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><em>\u201cBusiness Day\u201d means a day (other than a Saturday, Sunday, or public holiday) on which banks are open for general business in the relevant jurisdiction.<\/em><\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><em>\u201cChargeback\u201d means a reversal of a transaction initiated by the end-customer\u2019s issuing bank or payment network.<\/em><\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><em>\u201cClient\u201d means the end-customer or end-user of the Merchant who makes a payment using our Services.<\/em><\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><em>&#8220;Dispute&#8221; means any claim, controversy, or disagreement arising out of or relating to these Terms or the Services.<\/em><\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><em>&#8220;Fees&#8221; means the charges, fees, and commissions payable by you for the use of the Services, as set forth in the applicable fee schedule.<\/em><\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><em>&#8220;Merchant&#8221; means a business entity that uses the Services to accept payments from customers.<\/em><\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><em>\u201cPayment Instruction\u201d means any instruction submitted by you to initiate, process, or complete a transaction.<\/em><\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><em>&#8220;Personal Data&#8221; has the meaning ascribed to it in applicable data protection laws.<\/em><\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><em>&#8220;Processing&#8221; means any operation performed on Personal Data, whether or not by automated means.<\/em><\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><em>&#8220;Transaction&#8221; means any payment, transfer, or financial operation processed through the Services.<\/em><\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><em>\u201cVirtual Account\u201d means an account assigned by V5Pay to the Merchant for managing funds related to the Services.<\/em><\/p>\n\n\n\n<h5 class=\"wp-block-heading\"><strong>3. SCOPE OF SERVICES<\/strong><\/h5>\n\n\n\n<h6 class=\"wp-block-heading\"><strong>3.1 General Description<\/strong><\/h6>\n\n\n\n<p class=\"wp-block-paragraph\">V5Pay undertakes to provide the Merchant with payment processing services, including:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Integration: Organizing information and technological interaction between the Merchant\u2019s platform and V5Pay\u2019s payment systems.<\/li>\n\n\n\n<li>Transaction Processing: Processing all transactions, including cancellations, refunds, and chargeback operations.<\/li>\n\n\n\n<li>Settlement: Collecting and transferring funds received from transactions to the Merchant in accordance with the agreed settlement procedures.<\/li>\n\n\n\n<li>Technical Support: Providing ongoing technical assistance related to the integration and operation of the Services.<\/li>\n<\/ul>\n\n\n\n<h6 class=\"wp-block-heading\"><strong>3.2 System Availability<\/strong><\/h6>\n\n\n\n<p class=\"wp-block-paragraph\">The Merchant and V5Pay shall integrate their respective systems following agreed specifications. Testing shall be performed during integration. V5Pay shall provide reasonable technical assistance during this process.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">We strive to ensure the Services are available 24\/7; however, we do not guarantee uninterrupted or error-free operation of the Services. The Services may be subject to limitations, delays, and other problems inherent in the use of the internet, payment networks, and electronic communications.<\/p>\n\n\n\n<h6 class=\"wp-block-heading\"><strong>3.3 Modifications to Services<\/strong><\/h6>\n\n\n\n<p class=\"wp-block-paragraph\">V5Pay reserves the right to modify, adjust, or extend its systems, APIs, or services. We shall promptly notify the Merchant of any material changes that are reasonably expected to affect the Merchant\u2019s use of the Services. The systems are provided on an \u201cAs Is\u201d and \u201cAs Available\u201d basis, but we will use commercially reasonable efforts to maintain their reliability and stability.<\/p>\n\n\n\n<h6 class=\"wp-block-heading\"><strong>3.4 Engagement of Channel Partners<\/strong><\/h6>\n\n\n\n<p class=\"wp-block-paragraph\">To fulfil V5Pay&#8217;s obligations, the Services may integrate with or reference third-party payment service providers, banks, e-wallets, and other institutions (\u201cChannel Partners\u201d). V5Pay is not responsible for the availability, accuracy, security, or performance of such third-party services, and your use thereof is at your own risk and subject to the applicable third-party terms and conditions.<\/p>\n\n\n\n<h5 class=\"wp-block-heading\"><strong>4. ACCOUNT REGISTRATION AND MANAGEMENT<\/strong><\/h5>\n\n\n\n<h6 class=\"wp-block-heading\"><strong>4.1 Account Creation<\/strong><\/h6>\n\n\n\n<p class=\"wp-block-paragraph\">To use the Services, you must register for an Account by providing accurate, complete, and current information as requested in the registration process. You agree to:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Promptly update your Account information to maintain its accuracy and completeness;<\/li>\n\n\n\n<li>Not impersonate any other person or entity or misrepresent your affiliation with any person or entity; and<\/li>\n\n\n\n<li>Not create more than one Account without our prior written consent.<\/li>\n<\/ul>\n\n\n\n<h6 class=\"wp-block-heading\"><strong>4.2 Account Security<\/strong><\/h6>\n\n\n\n<p class=\"wp-block-paragraph\">You are solely responsible for maintaining the confidentiality and security of your Account credentials, including your password and any authentication codes. You agree to:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Not share your Account credentials with any third party;<\/li>\n\n\n\n<li>Immediately notify us of any unauthorized access to or use of your Account; and<\/li>\n\n\n\n<li>Ensure that you log out of your Account after each session.<\/li>\n\n\n\n<li>V5Pay shall not be liable for any loss or damage arising from your failure to comply with these security obligations.<\/li>\n<\/ul>\n\n\n\n<h6 class=\"wp-block-heading\"><strong>4.3 Account Verification<\/strong><\/h6>\n\n\n\n<p class=\"wp-block-paragraph\">V5Pay is required to conduct identity verification and due diligence in accordance with applicable anti-money laundering (AML) and know-your-customer (KYC) regulations. You agree to provide such identification documents and information as we may reasonably request for these purposes. We reserve the right to suspend or terminate your Account if you fail to provide satisfactory verification within the requested timeframe.<\/p>\n\n\n\n<h5 class=\"wp-block-heading\"><strong>5. USER OBLIGATIONS AND CONDUCT<\/strong><\/h5>\n\n\n\n<h6 class=\"wp-block-heading\"><strong>5.1 Lawful Use<\/strong><\/h6>\n\n\n\n<p class=\"wp-block-paragraph\">You agree to use the Services only for lawful purposes and in compliance with all applicable laws, regulations, and industry standards, including but not limited to:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Anti-money laundering and counter-terrorism financing laws;<\/li>\n\n\n\n<li>Sanctions and embargo regulations;<\/li>\n\n\n\n<li>Data protection and privacy laws;<\/li>\n\n\n\n<li>Consumer protection laws; and<\/li>\n\n\n\n<li>Payment network rules and regulations.<\/li>\n<\/ul>\n\n\n\n<h6 class=\"wp-block-heading\"><strong>5.2 Prohibited Activities<\/strong><\/h6>\n\n\n\n<p class=\"wp-block-paragraph\">You shall not use the Services in connection with any of the following:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Illegal goods, services, or activities;<\/li>\n\n\n\n<li>Fraudulent, deceptive, or misleading transactions;<\/li>\n\n\n\n<li>Pyramid schemes, Ponzi schemes, or other prohibited investment schemes;<\/li>\n\n\n\n<li>Unlicensed gambling, gaming, or betting operations;<\/li>\n\n\n\n<li>Adult content, pornography, or escort services;<\/li>\n\n\n\n<li>Weapons, firearms, ammunition, or explosives;<\/li>\n\n\n\n<li>Controlled substances, narcotics, or prescription drugs without a valid prescription;<\/li>\n\n\n\n<li>Intellectual property infringement or counterfeit goods;<\/li>\n\n\n\n<li>Money laundering, terrorist financing, or any other financial crime; or<\/li>\n\n\n\n<li>Any other activity that V5Pay, in its sole discretion, determines to be inappropriate, harmful, or in violation of these Terms.<\/li>\n<\/ul>\n\n\n\n<h6 class=\"wp-block-heading\"><strong>5.3 Merchant Obligations<\/strong><\/h6>\n\n\n\n<p class=\"wp-block-paragraph\">If you use the Services as a Merchant, you additionally agree to:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Clearly disclose your refund, cancellation, and return policies to your customers;<\/li>\n\n\n\n<li>Provide accurate descriptions of your products or services;<\/li>\n\n\n\n<li>Fulfill all orders and obligations to your customers;<\/li>\n\n\n\n<li>Not charge customers without their explicit authorization;<\/li>\n\n\n\n<li>Comply with all applicable payment network rules and card scheme requirements; and<\/li>\n\n\n\n<li>Maintain adequate records of all transactions processed through the Services.<\/li>\n<\/ul>\n\n\n\n<h5 class=\"wp-block-heading\"><strong>6. PAYMENT TRANSACTIONS<\/strong><\/h5>\n\n\n\n<h6 class=\"wp-block-heading\"><strong>6.1 Submission of Payment Instructions<\/strong><\/h6>\n\n\n\n<p class=\"wp-block-paragraph\">You may submit Payment Instructions through the V5Pay platform, API, or other authorized channels. Once submitted, Payment Instructions may not be revoked, cancelled, or amended except as expressly permitted by V5Pay or applicable law.<\/p>\n\n\n\n<h6 class=\"wp-block-heading\"><strong>6.2 Transaction Processing<\/strong><\/h6>\n\n\n\n<p class=\"wp-block-paragraph\">V5Pay will process Payment Instructions in accordance with the applicable payment method rules, network regulations, and jurisdictional requirements. We shall have no liability for:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Delays in processing caused by third-party payment networks, financial institutions, or other intermediaries;<\/li>\n\n\n\n<li>Rejection or failure of any Transaction due to insufficient funds, incorrect information, fraud detection, or regulatory compliance measures; or<\/li>\n\n\n\n<li>Any losses arising from your submission of inaccurate or incomplete Payment Instructions.<\/li>\n<\/ul>\n\n\n\n<h6 class=\"wp-block-heading\"><strong>6.3 Transaction Limits<\/strong><\/h6>\n\n\n\n<p class=\"wp-block-paragraph\">We may impose limits on the amount, frequency, or number of Transactions you may process through the Services. These limits may be adjusted based on your account history, verification status, risk assessment, and applicable regulatory requirements.<\/p>\n\n\n\n<h6 class=\"wp-block-heading\"><strong>6.4 Settlement<\/strong><\/h6>\n\n\n\n<p class=\"wp-block-paragraph\">Settlement of Transaction proceeds to your designated account shall occur in accordance with the applicable settlement schedule, which may vary depending on the payment method, jurisdiction, and risk assessment. V5Pay reserves the right to hold, delay, or withhold settlements in cases of suspected fraud, disputes, chargebacks, or regulatory investigations.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">V5Pay will only be responsible for settlement if the following conditions are satisfied:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>The Client\u2019s financial institution has not reversed or withheld the payment;<\/li>\n\n\n\n<li>V5Pay has actually received the corresponding Transaction Amounts from the Channel Partners or issuing banks;<\/li>\n\n\n\n<li>The Merchant is not in breach of any material term of this Agreement; and<\/li>\n\n\n\n<li>No suspension of Services is in effect.<\/li>\n<\/ul>\n\n\n\n<h6 class=\"wp-block-heading\"><strong>6.5 Currency and Exchange Rates<\/strong><\/h6>\n\n\n\n<p class=\"wp-block-paragraph\">Transactions may be processed in multiple currencies. Where currency conversion is required, the exchange rate applied shall be determined by V5Pay or its partners based on prevailing market rates, plus any applicable fees or spreads. Exchange rates are subject to fluctuation, and V5Pay shall not be liable for any losses arising from currency fluctuations.<\/p>\n\n\n\n<h6 class=\"wp-block-heading\"><strong>6.6 Transaction Records<\/strong><\/h6>\n\n\n\n<p class=\"wp-block-paragraph\">V5Pay will maintain records of all Transactions processed through the Services. You are responsible for reviewing your Transaction history and promptly notifying us of any discrepancies. Transaction records shall be retained in accordance with applicable regulatory requirements.<\/p>\n\n\n\n<h5 class=\"wp-block-heading\"><strong>7. FEES AND CHARGES<\/strong><\/h5>\n\n\n\n<h6 class=\"wp-block-heading\"><strong>7.1 Fee Structure<\/strong><\/h6>\n\n\n\n<p class=\"wp-block-paragraph\">The Fees for the Services are set forth in the applicable fee schedule or annex, subject to change as provided herein.<\/p>\n\n\n\n<h6 class=\"wp-block-heading\"><strong>7.2 Fee Adjustments<\/strong><\/h6>\n\n\n\n<p class=\"wp-block-paragraph\">V5Pay reserves the right to adjust its Fees upon reasonable advance notice, except where a shorter notice period is required by law, regulatory authorities, Channel Partners, or due to fraud prevention or security concerns. Your continued use of the Services after the effective date of any fee changes constitutes your acceptance of the revised Fees.<\/p>\n\n\n\n<h6 class=\"wp-block-heading\"><strong>7.3 Deduction and Reserve<\/strong><\/h6>\n\n\n\n<p class=\"wp-block-paragraph\">Fees shall be deducted from your Transaction proceeds or Account balance. If your Account balance is insufficient to cover applicable Fees, V5Pay reserves the right to set off such Fees against any amounts owed to you or to suspend your access to the Services until such Fees are paid.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">V5Pay also reserves the right to withhold or freeze amounts due to the Merchant to cover risks of Chargebacks, refunds, fines, penalties, or other liabilities that may arise after termination or suspension of the Services. The Reserve Amount and period shall be determined reasonably by V5Pay based on the Merchant\u2019s transaction history and risk profile.<\/p>\n\n\n\n<h6 class=\"wp-block-heading\"><strong>7.4 Taxes<\/strong><\/h6>\n\n\n\n<p class=\"wp-block-paragraph\">You are responsible for all taxes, duties, and government charges applicable to your use of the Services. V5Pay may be required by law to withhold or collect taxes on your behalf and remit such taxes to the relevant tax authorities.<\/p>\n\n\n\n<h5 class=\"wp-block-heading\"><strong>8. CUSTOMER SERVICE AND SUPPORT<\/strong><\/h5>\n\n\n\n<h6 class=\"wp-block-heading\"><strong>8.1 Customer Support<\/strong><\/h6>\n\n\n\n<p class=\"wp-block-paragraph\">We endeavor to provide customer support and respond to all support inquiries within a reasonable timeframe. We will acknowledge receipt of your complaint and provide a response within a reasonable timeframe, in accordance with applicable regulatory requirements. If your complaint is not resolved to your satisfaction, you may be entitled to refer the matter to the relevant regulatory authority in your jurisdiction.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">We will assist you in reconciling transaction disputes but shall not be liable for excessive payments, validity of underlying goods\/services, or disputes between the Merchant and its Clients, except as expressly provided in these Terms.<\/p>\n\n\n\n<h5 class=\"wp-block-heading\"><strong>9. DATA PROTECTION AND PRIVACY<\/strong><\/h5>\n\n\n\n<h6 class=\"wp-block-heading\"><strong>9.1 Commitment to Privacy<\/strong><\/h6>\n\n\n\n<p class=\"wp-block-paragraph\">V5Pay is committed to protecting the privacy and security of your Personal Data. The processing of your Personal Data is governed by our Privacy Policy, which is incorporated by reference into these Terms. Our Privacy Policy demonstrates V5Pay&#8217;s commitment to the pillars of transparency, partnership, security, and positive experience.<\/p>\n\n\n\n<h6 class=\"wp-block-heading\"><strong>9.2 Data Sharing<\/strong><\/h6>\n\n\n\n<p class=\"wp-block-paragraph\">The Merchant authorizes V5Pay and its affiliates to obtain and use relevant information for the purpose of providing the Services. We may share your Personal Data within the Group Entities in order to provide you with the Services. Data sharing shall be conducted in accordance with data protection laws, and we will strictly control its security and data accessibility. The way in which information is accessed, processed, and transferred, and our level of security, shall be consistent across the group.<\/p>\n\n\n\n<h6 class=\"wp-block-heading\"><strong>9.3 Data Security<\/strong><\/h6>\n\n\n\n<p class=\"wp-block-paragraph\">V5Pay implements appropriate technical and organizational measures to protect your Personal Data against unauthorized access, alteration, disclosure, or destruction. We are committed to maintaining the highest standards of security for payment card data.<\/p>\n\n\n\n<h5 class=\"wp-block-heading\"><strong>10. INTELLECTUAL PROPERTY RIGHTS<\/strong><\/h5>\n\n\n\n<h6 class=\"wp-block-heading\"><strong>10.1 Ownership<\/strong><\/h6>\n\n\n\n<p class=\"wp-block-paragraph\">All intellectual property rights (including copyrights, trademarks, patents, trade secrets, and know-how) owned by a Party prior to the effective date shall remain with that Party. The intellectual property rights in and to the Services, including but not limited to software, websites, APIs, documentation, trademarks, logos, and proprietary technology, are owned by or licensed to V5Pay.<\/p>\n\n\n\n<h6 class=\"wp-block-heading\"><strong>10.2 License<\/strong><\/h6>\n\n\n\n<p class=\"wp-block-paragraph\">The Merchant retains all rights to the information it submits or uploads. However, by using the Services, the Merchant grants V5Pay the right to use, reproduce, modify, and distribute such information solely for the purpose of providing the Services.<\/p>\n\n\n\n<h6 class=\"wp-block-heading\"><strong>10.3 Restrictions<\/strong><\/h6>\n\n\n\n<p class=\"wp-block-paragraph\">You shall not:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Copy, modify, or create derivative works of the Services or any part thereof;<\/li>\n\n\n\n<li>Reverse engineer, decompile, or disassemble any software component of the Services;<\/li>\n\n\n\n<li>Remove, alter, or obscure any copyright, trademark, or other proprietary notices;<\/li>\n\n\n\n<li>Use the Services for any purpose other than as expressly permitted by these Terms; or<\/li>\n\n\n\n<li>Transfer, sublicense, or assign your rights under these Terms.<\/li>\n<\/ul>\n\n\n\n<h5 class=\"wp-block-heading\"><strong>11. CONFIDENTIALITY<\/strong><\/h5>\n\n\n\n<h6 class=\"wp-block-heading\"><strong>11.1 Definition<\/strong><\/h6>\n\n\n\n<p class=\"wp-block-paragraph\">\u201cConfidential Information\u201d means all information disclosed by one Party to the other (whether written, oral, or electronic) that is marked as confidential or reasonably should be understood to be confidential, including business plans, financial data, client lists, source code, and pricing.<\/p>\n\n\n\n<h6 class=\"wp-block-heading\"><strong>11.2 Obligations<\/strong><\/h6>\n\n\n\n<p class=\"wp-block-paragraph\">Each Party shall keep the other\u2019s Confidential Information strictly confidential and shall not disclose or use it except as necessary to perform its obligations under this Agreement or as required by law.<\/p>\n\n\n\n<h6 class=\"wp-block-heading\"><strong>11.3 Survival<\/strong><\/h6>\n\n\n\n<p class=\"wp-block-paragraph\">The obligations of confidentiality shall survive the termination of this Agreement.<\/p>\n\n\n\n<h5 class=\"wp-block-heading\"><strong>12. REPRESENTATIONS AND WARRANTIES<\/strong><\/h5>\n\n\n\n<h6 class=\"wp-block-heading\"><strong>12.1 Each Party represents and warrants that:<\/strong><\/h6>\n\n\n\n<ul class=\"wp-block-list\">\n<li>It has full legal power and authority to enter into these Terms and to perform its obligations hereunder;<\/li>\n\n\n\n<li>All necessary corporate actions and consents have been obtained to authorize execution of these Terms;<\/li>\n\n\n\n<li>The person acting on its behalf has the authority to bind the Party; and<\/li>\n\n\n\n<li>It is compliant with all relevant laws and regulations affecting its business. Each Party is solely responsible for monitoring and interpreting such laws.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Either Party may immediately terminate this Agreement upon written notice if the other Party:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Enters into liquidation, suspension of payments, or becomes insolvent;<\/li>\n\n\n\n<li>Commits a material breach of this Agreement that is not remedied within fifteen (15) Business Days of receiving written notice; or<\/li>\n\n\n\n<li>Uses the Services in any unlawful manner or in a way inconsistent with these Terms.<\/li>\n<\/ul>\n\n\n\n<h6 class=\"wp-block-heading\"><strong>12.2 V5Pay further represents and warrants that:<\/strong><\/h6>\n\n\n\n<ul class=\"wp-block-list\">\n<li>V5Pay shall comply with all Applicable Laws in connection with its business operations and performance under this Agreement;<\/li>\n\n\n\n<li>V5Pay shall comply with all applicable anti-money laundering (AML), counter-terrorism financing, and sanctions laws;<\/li>\n\n\n\n<li>V5Pay shall perform its obligations in accordance with these Terms. V5Pay may engage its Affiliates and Channel Partners to provide the Services at its discretion; and<\/li>\n\n\n\n<li>Transaction records shall be retained by V5Pay for the period required by law.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">V5Pay reserves the right to suspend or refuse any of the Services with prior notice (or without notice in urgent circumstances) if, among other things:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>The Merchant fails to provide required information or due diligence documentation;<\/li>\n\n\n\n<li>The transaction is suspected to be fraudulent, illegal, or in violation of Anti-Money Laundering (AML) laws;<\/li>\n\n\n\n<li>The Merchant\u2019s Account is inactive for an extended period;<\/li>\n\n\n\n<li>V5Pay determines that continued compliance would violate applicable sanctions or laws.<\/li>\n<\/ul>\n\n\n\n<h6 class=\"wp-block-heading\"><strong>12.3 The Merchant further represents and warrants that:<\/strong><\/h6>\n\n\n\n<ul class=\"wp-block-list\">\n<li>The Merchant shall maintain accurate and up-to-date information and shall perform all necessary \u201cKnow Your Client\u201d (KYC) checks in accordance with applicable laws. The Merchant shall cooperate fully with V5Pay\u2019s due diligence, maintain adequate AML procedures, and report any suspicious activity to V5Pay. All information provided to V5Pay is accurate, complete, and current;<\/li>\n\n\n\n<li>The Merchant&#8217;s use of the Services complies with all applicable laws and regulations, and shall not use the Services for any illegal, fraudulent, or unauthorized purpose in compliance with applicable laws, rules and regulations;<\/li>\n\n\n\n<li>The Merchant is solely responsible for all activities conducted through its Account and must promptly notify V5Pay of any unauthorized access;<\/li>\n\n\n\n<li>The Merchant will fulfill all obligations to its Clients in connection with Transactions processed through the Services with the right to use any payment instruments submitted through the Services. The Merchant shall implement appropriate technical and organizational security measures to protect Client data. The Merchant must notify V5Pay promptly of any actual or suspected data breach; and<\/li>\n\n\n\n<li>The Merchant shall retain its own transaction records and proof of delivery for the period required by law.<\/li>\n<\/ul>\n\n\n\n<h6 class=\"wp-block-heading\"><strong>12.4 Disclaimer of Warranties<\/strong><\/h6>\n\n\n\n<p class=\"wp-block-paragraph\">TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED &#8220;AS IS&#8221; AND &#8220;AS AVAILABLE,&#8221; WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. V5PAY SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">V5Pay does not warrant that:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>The Services will be uninterrupted, timely, secure, or error-free;<\/li>\n\n\n\n<li>The results obtained from the use of the Services will be accurate or reliable;<\/li>\n\n\n\n<li>The quality of any products, services, information, or other material obtained through the Services will meet your expectations; or<\/li>\n\n\n\n<li>Any errors in the Services will be corrected.<\/li>\n<\/ul>\n\n\n\n<h5 class=\"wp-block-heading\"><strong>13. LIMITATION OF LIABILITY<\/strong><\/h5>\n\n\n\n<h6 class=\"wp-block-heading\"><strong>13.1 Exclusion of Damages<\/strong><\/h6>\n\n\n\n<p class=\"wp-block-paragraph\">TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL V5PAY, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES.<\/p>\n\n\n\n<h6 class=\"wp-block-heading\"><strong>13.2 Cap on Liability<\/strong><\/h6>\n\n\n\n<p class=\"wp-block-paragraph\">TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL LIABILITY OF V5PAY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO V5PAY DURING THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.<\/p>\n\n\n\n<h6 class=\"wp-block-heading\"><strong>13.3 Exceptions<\/strong><\/h6>\n\n\n\n<p class=\"wp-block-paragraph\">Nothing in these Terms shall limit or exclude liability for:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Fraud, gross negligence, or willful misconduct;<\/li>\n\n\n\n<li>Death or personal injury caused by negligence; or<\/li>\n\n\n\n<li>Any liability that cannot be excluded or limited under applicable law.<\/li>\n<\/ul>\n\n\n\n<h6 class=\"wp-block-heading\"><strong>13.4 INDEMNIFICATION<\/strong><\/h6>\n\n\n\n<p class=\"wp-block-paragraph\">You agree to indemnify, defend, and hold harmless V5Pay, its affiliates, directors, officers, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Your use of the Services in violation of these Terms;<\/li>\n\n\n\n<li>Your violation of any applicable law or regulation;<\/li>\n\n\n\n<li>Your infringement of any third-party right, including intellectual property or privacy rights;<\/li>\n\n\n\n<li>Any dispute between you and your customers, users, or other third parties;<\/li>\n\n\n\n<li>Any Chargebacks, refunds, or disputes initiated by your customers; or<\/li>\n\n\n\n<li>Any misrepresentation or breach of warranty by you.<\/li>\n<\/ul>\n\n\n\n<h5 class=\"wp-block-heading\"><strong>14. DISPUTE RESOLUTION AND GOVERNING LAW<\/strong><\/h5>\n\n\n\n<h6 class=\"wp-block-heading\"><strong>14.1 Governing Law<\/strong><\/h6>\n\n\n\n<p class=\"wp-block-paragraph\">These Terms and any disputes arising hereunder shall be governed by the laws of the jurisdiction of the V5Pay entity providing the Services:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Philippines: Laws of the Republic of the Philippines.<\/li>\n\n\n\n<li>Colombia: Laws of the Republic of Colombia.<\/li>\n\n\n\n<li>Hong Kong (SAR): Laws of the Hong Kong Special Administrative Region, China.<\/li>\n<\/ul>\n\n\n\n<h6 class=\"wp-block-heading\"><strong>14.2 Dispute Resolution<\/strong><\/h6>\n\n\n\n<p class=\"wp-block-paragraph\">The Parties shall first attempt to resolve any dispute through good-faith consultations within thirty (30) days. If such consultations fail, the dispute shall be referred to and finally resolved by arbitration in accordance with the rules of a recognized arbitration institution in the relevant jurisdiction, conducted in English.<\/p>\n\n\n\n<h6 class=\"wp-block-heading\"><strong>14.3 Class Action Waiver<\/strong><\/h6>\n\n\n\n<p class=\"wp-block-paragraph\">To the maximum extent permitted by law, any dispute resolution shall be conducted on an individual basis and not as a class, consolidated, or representative action.<\/p>\n\n\n\n<h5 class=\"wp-block-heading\"><strong>15. FORCE MAJEURE<\/strong><\/h5>\n\n\n\n<p class=\"wp-block-paragraph\">Neither Party shall be liable for any failure or delay in performing its obligations where such failure or delay results from any cause beyond its reasonable control, including but not limited to:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Acts of God, natural disasters, pandemics;<\/li>\n\n\n\n<li>War, terrorism, civil unrest;<\/li>\n\n\n\n<li>Government actions or orders;<\/li>\n\n\n\n<li>Power outages, telecommunications failures, or internet disruptions (including hacking, viruses, or technical failures);<\/li>\n\n\n\n<li>Strikes or labor disputes.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">The affected Party shall use reasonable efforts to minimize disruptions and shall notify the other Party promptly.<\/p>\n\n\n\n<h5 class=\"wp-block-heading\"><strong>16. NOTICES<\/strong><\/h5>\n\n\n\n<h6 class=\"wp-block-heading\"><strong>16.1 How We Send Notices<\/strong><\/h6>\n\n\n\n<p class=\"wp-block-paragraph\">We may send notices to you through:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Email to the email address associated with your Account;<\/li>\n\n\n\n<li>In-app notifications or messages;<\/li>\n\n\n\n<li>SMS or text message to your registered phone number;<\/li>\n\n\n\n<li>Posting on our website; or<\/li>\n\n\n\n<li>Any other method we deem appropriate.<\/li>\n<\/ul>\n\n\n\n<h6 class=\"wp-block-heading\"><strong>16.2 How You Send Notices<\/strong><\/h6>\n\n\n\n<p class=\"wp-block-paragraph\">Unless otherwise specified in these Terms, you may send notices to us through the contact channels provided on our website. V5Pay may assign, transfer, or sublicense its rights or obligations under these Terms without your consent to any affiliate or in connection with a merger, acquisition, or sale of assets.<\/p>\n\n\n\n<h6 class=\"wp-block-heading\"><strong>17.5 Entire Agreement<\/strong><\/h6>\n\n\n\n<p class=\"wp-block-paragraph\">These Terms (together with the policies and annexes referenced herein) constitute the entire agreement between the Parties and supersede all prior agreements, whether oral or written.<\/p>\n\n\n\n<h6 class=\"wp-block-heading\"><strong>17.6 Effect of Termination<\/strong><\/h6>\n\n\n\n<p class=\"wp-block-paragraph\">Termination shall not release the Parties from obligations, liabilities, or causes of action that accrued prior to termination.<\/p>\n\n\n\n<h6 class=\"wp-block-heading\"><strong>17.7 LANGUAGE<\/strong><\/h6>\n\n\n\n<p class=\"wp-block-paragraph\">These Terms are drafted in the English language. Any translation of these Terms into any other language is for convenience only and shall not be binding.
